Shipping, Delivery & Service Policy

This Shipping, Delivery & Service Policy (“Policy”) applies to all products and services supplied by Growpower Sdn. Bhd. (“Growpower“, “we“, “our“, or “us“) through our website and our solar photovoltaic (PV) engineering, procurement and construction (EPC) business.

By placing an order or engaging our services, you acknowledge that you have read and agree to this Policy.

  1. Scope

This Policy applies to the supply and delivery of:

  • Solar PV systems;
  • Solar panels;
  • Inverters;
  • Battery Energy Storage Systems (BESS);
  • EV chargers;
  • Mounting structures;
  • Electrical equipment;
  • Monitoring devices;
  • Spare parts;
  • Operation & Maintenance (O&M) services;
  • Preventive maintenance;
  • Repair services; and
  • All engineering, procurement, construction and related services provided by Growpower.
  1. Service Coverage

Growpower provides products and services throughout Malaysia, subject to operational availability.

Projects located in remote or offshore areas may require additional transportation, accommodation, mobilisation or logistical charges, which will be communicated before work commences.

  1. Order Processing

After an order has been confirmed and any required deposit has been received, Growpower will commence the relevant project activities, which may include:

  • engineering design;
  • site verification;
  • structural assessment;
  • authority submissions;
  • procurement of equipment;
  • scheduling of installation works; and
  • project mobilisation.

Processing times vary depending on project size, product availability and regulatory requirements.

  1. Delivery of Equipment

Where equipment is supplied separately from installation:

  • delivery dates are estimates only;
  • delivery schedules are subject to stock availability, supplier lead times, customs clearance (where applicable), weather conditions and transportation logistics;
  • delivery may be made in one or multiple shipments.

Risk in delivered goods passes to the customer upon delivery to the agreed delivery location, unless otherwise stated in a written contract.

Ownership of goods remains with Growpower until full payment has been received, where permitted by applicable law and the applicable contract.

  1. Installation Services

Installation dates will be scheduled after taking into account factors such as:

  • project readiness;
  • site accessibility;
  • customer availability;
  • weather conditions;
  • equipment availability;
  • required approvals; and
  • safety considerations.

Estimated installation schedules are provided for planning purposes only and may change due to circumstances beyond Growpower’s reasonable control.

  1. Commissioning and Completion

A project will generally be regarded as completed when the applicable contracted scope has been substantially performed, including where relevant:

  • installation of equipment;
  • electrical testing;
  • commissioning;
  • safety checks;
  • customer demonstration; and
  • issuance of completion documentation.

Where grid connection or regulatory approval is required, final energisation may be subject to approval by the relevant authority or utility provider.

  1. Authority and Utility Approvals

Some projects require approvals from authorities or utility providers, including but not limited to:

  • Sustainable Energy Development Authority (SEDA);
  • Tenaga Nasional Berhad (TNB);
  • Energy Commission (Suruhanjaya Tenaga);
  • Local Authorities;
  • Fire and Rescue Department (where applicable); and
  • other relevant agencies.

Approval processing times are outside Growpower’s control. We cannot guarantee approval outcomes or completion dates dependent upon third-party authorities.

  1. Delivery Delays

Delivery or installation may be delayed due to circumstances including:

  • severe weather;
  • natural disasters;
  • transportation disruptions;
  • supplier shortages;
  • manufacturing delays;
  • customs inspections;
  • utility requirements;
  • regulatory approvals;
  • labour shortages;
  • force majeure events;
  • restricted site access; or
  • customer-requested changes.

Growpower will use reasonable efforts to keep customers informed of material delays.

  1. Customer Responsibilities

The customer is responsible for ensuring, where applicable, that:

  • the site is accessible and safe;
  • necessary permissions are obtained from the property owner or building management;
  • the installation area is free from obstruction;
  • electrical infrastructure is suitable or upgraded where required;
  • accurate information and documentation are provided;
  • payment obligations are met in accordance with the applicable contract.

Additional charges may apply where delays or additional visits arise due to the customer’s failure to satisfy these requirements.

  1. Failed Delivery or Installation

If delivery or installation cannot be completed because:

  • no authorised representative is present;
  • the site is inaccessible;
  • unsafe conditions exist;
  • required approvals have not been obtained;
  • inaccurate information was provided; or
  • the customer requests postponement,

Growpower reserves the right to charge reasonable additional transportation, storage, mobilisation or rescheduling costs where permitted by the applicable contract.

  1. Inspection Upon Delivery

Customers should inspect equipment upon delivery and notify Growpower as soon as reasonably practicable if:

  • equipment appears damaged;
  • incorrect products are delivered;
  • items appear to be missing; or
  • delivery documentation is inaccurate.

Visible damage should, where possible, be noted on the delivery documentation before acceptance.

  1. Operation & Maintenance Services

For customers with Operation & Maintenance (O&M) agreements, services may include:

  • preventive inspections;
  • cleaning (where contracted);
  • inverter inspections;
  • electrical testing;
  • monitoring reviews;
  • performance analysis;
  • troubleshooting;
  • replacement of defective components (subject to warranty and contract terms).

Service visit frequency and response times are governed by the applicable O&M agreement.

  1. Emergency Service Requests

Where emergency call-out services are available, response times are estimates only and may vary depending on:

  • technician availability;
  • travel distance;
  • weather conditions;
  • safety considerations; and
  • access to the site.

Emergency services may be subject to additional charges unless otherwise provided under the applicable maintenance agreement.

  1. Product Availability

Products displayed on our website are subject to availability.

Growpower reserves the right to substitute equipment with equivalent or higher-specification products where necessary, provided such substitution does not materially reduce the agreed functionality or performance, unless otherwise agreed with the customer.

  1. International Deliveries

Unless otherwise agreed in writing, Growpower primarily supplies products and services within Malaysia.

Requests for international deliveries or overseas projects will be assessed on a case-by-case basis and may be subject to additional contractual terms.

  1. Force Majeure

Growpower shall not be liable for delays or failures in delivery or performance caused by events beyond our reasonable control, including:

  • natural disasters;
  • floods;
  • fires;
  • pandemics;
  • strikes;
  • transportation disruptions;
  • supplier failures;
  • government actions;
  • utility outages;
  • cyber incidents;
  • war; or
  • civil disturbances.

Where such events occur, affected timelines may be reasonably extended.

  1. Limitation of Liability

To the fullest extent permitted by Malaysian law, Growpower shall not be liable for indirect, incidental, consequential or special losses arising from delays in delivery or installation where such delays are caused by factors beyond Growpower’s reasonable control.

Nothing in this Policy excludes or limits any liability that cannot lawfully be excluded under Malaysian law.

  1. Changes to this Policy

Growpower may amend this Policy from time to time.

Any revised version will be published on our website together with the updated Effective Date.

  1. Governing Law

This Policy shall be governed by and construed in accordance with the laws of Malaysia.

Any dispute arising out of or in connection with this Policy shall be subject to the exclusive jurisdiction of the courts of Malaysia, unless otherwise agreed in writing by the parties.
